Agreement to our legal terms
We are Hull Software Solutions Ltd (trading as MarginPal) ("Company", "we", "us", "our"), a company registered in England and Wales with its registered office at 39 Sir Leo Schultz Rd, Hull, East Riding of Yorkshire, HU6 9FL, United Kingdom.
We operate the website www.marginpal.co.uk, the web application at app.marginpal.co.uk, and the MarginPal mobile applications for iOS and Android (collectively, the "Services").

These Terms of Use ("Legal Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Hull Software Solutions Ltd, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.
We may make changes to these Legal Terms from time to time. We will alert you to material changes by updating the "Last updated" date and, where appropriate, by notifying you by email or in-app notice. Your continued use of the Services after a change takes effect constitutes acceptance of the revised Legal Terms.
We recommend that you keep a copy of these Legal Terms for your records.

1. Our Services
MarginPal is a software-as-a-service product that helps tradespeople and small businesses manage customers, jobs, quotes, invoices and expenses, and analyse the margin between quoted and actual figures on each job.
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation, or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. Intellectual property rights
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").
Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties around the world.
The Content and Marks are provided in or through the Services "AS IS" for your internal business purpose only.
Your use of our Services
Subject to your compliance with these Legal Terms, including the "Prohibited Activities" section below, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes for as long as your subscription is in good standing.
Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission. 3. User representations
By using the Services, you represent and warrant that:
- all registration information you submit will be true, accurate, current and complete;
- you will maintain the accuracy of such information and promptly update it as necessary;
- you have the legal capacity and you agree to comply with these Legal Terms;
- you are not under the age of 18;
- you will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
- you will not use the Services for any illegal or unauthorised purpose;
- your use of the Services will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).
4. User registration
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim or change a username you select if we determine in our sole discretion that such username is inappropriate, obscene or otherwise objectionable.
5. Subscriptions, fees and refunds
Plans and pricing
Access to the Services is offered on a paid subscription basis. Plan tiers, monthly prices and included usage limits (such as receipt-scan allowances) are described on our pricing page and within the Services. We reserve the right to change pricing or plan features. Where a price change affects an existing subscription, we will give you at least 30 days' notice by email and the new price will apply from your next billing cycle, giving you a fair opportunity to cancel before the change takes effect.
Billing
We use Stripe Payments Europe, Ltd. as our payment processor. By subscribing, you authorise us (via Stripe) to charge the payment method on file at the start of each billing period. Subscriptions renew automatically until cancelled. The prices shown on our pricing page are inclusive of UK VAT at the prevailing rate (currently 20%) — the headline figure is the total amount you'll be charged.
On Apple iOS, subscriptions purchased through the App Store are billed by Apple and governed by Apple's standard subscription terms in addition to these Legal Terms. Cancellations of App Store subscriptions must be made through your Apple ID account settings.
Free trials
Where a free trial is offered (for example, a 7-day Pro trial), you may be required to provide a payment method at sign-up. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription at the rate disclosed at sign-up. Trial eligibility is limited to one trial per customer.
Cancellation
You may cancel your subscription at any time from your account settings or, for App Store purchases, from your Apple ID account settings. On cancellation, your subscription will continue to run until the end of the current billing period and will not renew thereafter.
Refunds
Except where required by applicable law, fees paid are non-refundable and we do not provide refunds or credits for partial subscription periods, unused features, or usage allowances that have not been consumed. We will, of course, honour any refund rights you have under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where they apply to you.
Usage overages
Some plans include per-overage charges (for example, additional receipt scans beyond your monthly allowance). Overage charges accrue during the billing period and are billed alongside your next subscription charge. Current overage rates are shown within the Services.
6. Prohibited activities
You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:
- Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database or directory without written permission from us.
- Trick, defraud or mislead us or other users, especially in any attempt to learn sensitive account information such as user passwords.
- Circumvent, disable or otherwise interfere with security-related features of the Services.
- Use any information obtained from the Services to harass, abuse or harm another person.
- Make improper use of our support services or submit false reports of abuse or misconduct.
- Use the Services in a manner inconsistent with any applicable laws or regulations.
- Engage in unauthorised framing of or linking to the Services.
- Upload or transmit viruses, Trojan horses or other malicious code.
- Engage in any automated use of the system, such as using scripts to send messages, or using any data-mining, robots or similar data-gathering tools.
- Attempt to impersonate another user or use the username of another user.
- Interfere with, disrupt or create an undue burden on the Services or the networks or services connected to the Services.
- Attempt to bypass any measures of the Services designed to prevent or restrict access.
- Except as permitted by applicable law, decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up part of the Services.
- Use the Services as part of any effort to compete with us, or otherwise use the Services for any revenue-generating endeavour or commercial enterprise other than as expressly permitted by these Legal Terms.
7. User-generated contributions
The Services allow you to upload, submit and store content including (but not limited to) receipts, supplier invoices, customer-facing invoices, photographs, quote line items, customer details, job records and notes (collectively, "Contributions"). You retain ownership of your Contributions.
When you upload or create any Contributions, you represent and warrant that:
- you have the right to upload, store and process the Contribution and to grant us the licence described below;
- the Contribution does not infringe the intellectual property or privacy rights of any third party;
- the Contribution is not unlawful, obscene, defamatory, threatening, harassing or otherwise objectionable;
- where the Contribution contains personal data of third parties (for example, your customers), you have a lawful basis under applicable data-protection law to share that data with us for processing on your behalf.
8. Contribution licence
You grant us a worldwide, non-exclusive, royalty-free, transferable licence to host, store, process, transmit, display, reproduce and create derivative works of your Contributions, solely to the extent necessary to operate, maintain, develop and improve the Services and to comply with applicable law. This licence terminates when your Contributions are deleted from our systems, save for routine backups retained for a limited period and any anonymised or aggregated data which no longer identifies you.
Where Contributions contain personal data, our processing of that data is governed by our Privacy Notice and any applicable data-processing terms, which form part of the agreement between us.
9. Services management
We reserve the right, but not the obligation, to:
- monitor the Services for violations of these Legal Terms;
- take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including reporting such user to law-enforcement authorities;
- in our sole discretion and without limitation, refuse, restrict access to, limit the availability of, or disable any of your Contributions or any portion thereof to the extent technologically feasible;
- remove from the Services or otherwise disable all files and content that are excessive in size or in any way burdensome to our systems;
- otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.
10. Term and termination
These Legal Terms remain in full force and effect while you use the Services. Without limiting any other provision of these Legal Terms, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or for no reason, including for breach of any representation, warranty or covenant contained in these Legal Terms or of any applicable law or regulation.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party.
On termination, you remain liable for any fees accrued up to the date of termination. We will make a copy of your data available for export for a reasonable period after termination, after which we may delete it in accordance with our data retention policy described in the Privacy Notice.
11. Modifications and interruptions
We reserve the right to change, modify or remove the contents of the Services at any time or for any reason at our sole discretion without notice. We have no obligation to update any information on our Services.
We cannot guarantee the Services will be available at all times. We may experience hardware, software or other problems or need to perform maintenance related to the Services, resulting in interruptions, delays or errors. Subject to your statutory rights, you agree that we have no liability for any loss, damage or inconvenience caused by your inability to access or use the Services during any downtime or discontinuance of the Services.
12. Governing law
These Legal Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales.
13. Dispute resolution
Informal negotiations
Before commencing court proceedings, the parties agree to first attempt to resolve any dispute informally for a period of at least 30 days from the date written notice of the dispute is provided by one party to the other.
Jurisdiction
If informal negotiations do not resolve the dispute, you and we irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Legal Terms or their subject matter or formation.
Consumers
Nothing in this section affects your rights as a consumer to rely on mandatory provisions of the law of the country in which you are resident.
14. Corrections
There may be information on the Services that contains typographical errors, inaccuracies or omissions, including descriptions, pricing, availability and various other information. We reserve the right to correct any errors, inaccuracies or omissions and to change or update the information on the Services at any time, without prior notice.
15. Disclaimer
The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use thereof, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We make no warranties or representations about the accuracy or completeness of the Services' content or the content of any third-party websites or applications linked to the Services. The Services include AI-generated insights and OCR-extracted data; these are intended as decision-support and you remain responsible for verifying any figure before relying on it for invoicing, tax filing or other commercial purposes.
Nothing in these Legal Terms excludes or limits our liability where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
16. Limitations of liability
Subject to the carve-outs above, in no event will we or our directors, employees or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit, lost revenue, loss of data or business interruption, arising from your use of the Services, even if we have been advised of the possibility of such damages.
Subject to the carve-outs above, our total aggregate liability to you for any cause whatsoever and regardless of the form of the action will at all times be limited to the greater of (a) the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim, or (b) £100.
17. Indemnification
You agree to defend, indemnify and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners and employees, from and against any loss, damage, liability, claim or demand, including reasonable legal fees and expenses, made by any third party due to or arising out of: (1) your use of the Services in breach of these Legal Terms; (2) your breach of these Legal Terms; (3) any breach of your representations and warranties set out in these Legal Terms; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services with whom you connected via the Services.
18. User data
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services. Our handling of personal data is governed by our Privacy Notice.
19. Electronic communications, transactions and signatures
Visiting the Services, sending us emails and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. You hereby agree to the use of electronic signatures, contracts, orders and other records, and to electronic delivery of notices, policies and records of transactions initiated or completed by us or via the Services.
20. Miscellaneous
These Legal Terms and any policies or operating rules posted by us on the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations to others at any time. We will not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond our reasonable control. If any provision of these Legal Terms is determined to be unlawful, void or unenforceable, that provision is severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services.
